01Scope
These Terms of Service (“Terms”) govern your access to and use of nurrielmamaril.xyz (the “Site”), operated by Nurriel Robaine Mamaril, trading as Nurriel M. & Co. (“I”, “me”, “my”).
By accessing or using the Site you agree to these Terms. If you do not agree, please do not use the Site.
These Terms govern the Site only. They do not themselves create a client relationship and do not govern any services I may later provide to you — see section 6.
02Use of this website
The Site is provided for general information about my services and work. You may view, print and download pages for your own, non-commercial, information purposes.
You agree not to:
- use the Site for any unlawful purpose, or in breach of these Terms;
- attempt to gain unauthorised access to the Site, its server, or any connected system;
- introduce malware, or interfere with or disrupt the Site’s operation or availability;
- scrape, crawl, harvest or systematically extract content other than by ordinary search engine indexing, or use the Site’s content to train machine-learning models without my prior written permission;
- misrepresent your identity or your affiliation with any person or organisation;
- remove, obscure or alter any proprietary notice on the Site.
I may suspend, withdraw or restrict all or part of the Site at any time, without notice, and I am under no obligation to keep any content on the Site up to date.
03Intellectual property
Unless otherwise stated, I own or am licensed to use all intellectual property rights in the Site and its content, including text, layout, design, graphics, code and the compilation of all of it. These rights are protected by copyright and other laws worldwide, and all such rights are reserved.
Case studies and project work shown on the Site are displayed with permission or in a form that does not disclose confidential information. Client names, logos and trade marks remain the property of their respective owners and are shown for identification only. Their appearance does not imply any endorsement of me by those owners.
You may link to the Site’s home page provided you do so fairly and lawfully, and in a way that does not damage my reputation or suggest any association or endorsement that does not exist. You may not frame the Site on another site without my written permission.
04Third-party content and links
The Site links to resources operated by others, including a scheduling service, social profiles and demonstration versions of projects. Those links are provided for convenience. I do not control, endorse or accept responsibility for third-party sites or their content, and your use of them is at your own risk and subject to their terms.
Testimonials on the Site are genuine statements given by the people named, reproduced with their permission and, where they asked, shortened or attributed by first name and initial. They describe those individuals’ own experiences and are not a guarantee or prediction of the results you will obtain.
05Enquiries and bookings
Nothing on the Site is an offer capable of acceptance. Information about services, arrangements and any figures shown is an invitation to discuss, not a binding quotation.
Sending an enquiry or booking a discovery call does not create a contract or a client relationship, and does not oblige me to accept an engagement. I may decline any enquiry, including where there is a conflict of interest or where I lack capacity.
When you contact me, you agree to provide accurate information and not to send confidential or sensitive material before an engagement and any confidentiality arrangement are agreed in writing. Unsolicited material sent to me before that point is not treated as confidential.
06Engagements
Any services I provide are governed by a separate written agreement — a proposal, statement of work, engagement letter or contract — signed or confirmed in writing by both of us. That agreement prevails over these Terms in respect of the services, and will set out scope, deliverables, hours or arrangement, fees, invoicing and payment terms, ownership of work product, confidentiality, and how either of us may end it.
Where no such agreement has been made, no services are owed and no fee is payable.
07Confidentiality
My work involves access to sensitive business information. Under any engagement I will keep client information confidential, use it only for the purposes of the engagement, and not disclose it without authorisation, except where disclosure is required by law.
Unless an engagement says otherwise, I may refer to the fact that I worked with a client, and describe the nature of the work in general terms, without disclosing confidential details. If you prefer that I do not, tell me and I will not.
08No warranty
The Site and its content are provided “as is” and “as available”. To the fullest extent permitted by law, I disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
I do not warrant that the Site will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Site or its server is free of harmful components. Content is general information, is not professional, legal, financial or tax advice, and should not be relied on as such. You should obtain your own professional advice before acting on anything you read here.
09Limitation of liability
Nothing in these Terms excludes or limits my liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to that, and to the fullest extent permitted by law:
- I will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill, anticipated savings, data or opportunity, however arising, whether in contract, tort (including negligence), under statute or otherwise, and whether or not foreseeable;
- my total aggregate liability arising out of or in connection with your use of the Site will not exceed one hundred US dollars (US$100).
Liability in respect of services is governed by the separate engagement agreement for those services, not by this section.
Some jurisdictions do not allow certain exclusions or limitations, in which case those parts apply to you only to the extent permitted, and your statutory rights as a consumer are not affected.
10Indemnity
You agree to indemnify me against any claim, liability, loss, damage, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or of the rights of a third party.
11Privacy
How I handle personal data is set out in my Privacy Policy and Cookie Policy, which form part of these Terms.
12Changes to these Terms
I may revise these Terms at any time by updating this page. The “last updated” date above shows the current version, and the revised Terms apply from the moment they are posted. Please check this page when you visit. Continuing to use the Site after a change means you accept the revised Terms.
13Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules.
The courts of the Republic of the Philippines have exclusive jurisdiction, except that if you are a consumer resident in the EEA or the UK, you may also bring proceedings in the courts of your country of residence and nothing here deprives you of the protection of its mandatory consumer law.
If any provision of these Terms is held invalid or unenforceable, it will be severed and the remaining provisions will continue in full force. My failure to enforce a provision is not a waiver of it.
